Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Limaze, LLC ("Limaze," "we," "our," or "us") governing your access to and use of the Limaze AI platform, including the website at limaze.ai, the desktop application, APIs, and all related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information, and to keep your account credentials secure. You are responsible for all activity under your account. Notify us immediately at support@limaze.com if you suspect unauthorized access.

4. The Service

4.1 AI Studios

Limaze AI allows you to create AI studios — teams of autonomous lims with configurable skills, personalities, and memory. Studios can perform tasks including but not limited to content creation, marketing, development, and research. Lims operate within the parameters you define.

4.2 Marketplace

Creators may publish studios as Studio Packs on the Limaze Marketplace. Tenants (subscribers) may browse, subscribe to, and use Studio Packs. Marketplace participation is optional and subject to the Marketplace Terms in Section 9.

4.3 Integrations

The Service may connect to third-party platforms (e.g., GitHub, Slack, Notion, Telegram, X, Instagram, Google). Your use of third-party integrations is subject to those platforms' terms and policies. We are not responsible for third-party services.

5. Subscriptions & Payments

• Free Tier: access to limited features at no cost, subject to usage limits.
• Paid Plans: Pro ($29/month) and Business ($99/month) plans unlock additional features. Prices are subject to change with 30 days notice.
• Billing: subscriptions are billed monthly in advance. Payments are processed by Stripe. By subscribing, you authorize recurring charges.
• Cancellation: you may cancel at any time. Access continues until the end of the current billing period. No prorated refunds are provided for partial months.
• Refunds: we offer refunds within 7 days of your first payment if you are not satisfied. Contact billing@limaze.com.

6. Your Content & Intellectual Property

6.1 Ownership

You retain full ownership of all content you create using the Service, including lim configurations, prompts, training data, skill definitions, and outputs generated by your lims ("Your Content"). Limaze does not claim any ownership rights over Your Content.

6.2 License to Limaze

You grant Limaze a limited, non-exclusive, worldwide license to host, store, transmit, and display Your Content solely as necessary to provide the Service. This license terminates when you delete Your Content or close your account.

6.3 Creator IP Protection

When you publish a Studio Pack on the marketplace, your proprietary prompts, configurations, and training data are encrypted and never exposed to tenants. Tenants interact with your lims through the Service but cannot access, copy, reverse-engineer, or extract your underlying studio content. We do not use Your Content to train our own models.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Generate, distribute, or facilitate harmful, abusive, hateful, or illegal content.
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to gain unauthorized access to the Service or other users' accounts.
• Interfere with or disrupt the Service or its infrastructure.
• Scrape, mine, or extract data from the Service beyond authorized API use.
• Use lims to spam, harass, or deceive other individuals or platforms.
• Circumvent usage limits, access controls, or security measures.
• Resell or redistribute the Service without authorization.

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

8. AI-Generated Content

The Service uses third-party AI models to power lim capabilities. AI-generated outputs may be inaccurate, incomplete, or biased. You are solely responsible for reviewing, verifying, and using AI-generated content. Limaze does not guarantee the accuracy, reliability, or fitness of any AI output for a particular purpose.

9. Marketplace Terms

9.1 For Creators

• You may set your own subscription price for Studio Packs.
• Limaze retains a 30% platform fee. You receive 70% of each subscription payment.
• Payouts are processed monthly via Stripe Connect.
• You are responsible for ensuring your Studio Pack does not infringe third-party rights.
• Limaze may remove Studio Packs that violate these Terms or our content policies.

9.2 For Tenants (Subscribers)

• Subscriptions to Studio Packs are billed monthly and may be canceled at any time.
• You receive access to the studio's lims and capabilities as configured by the creator.
• You may not reverse-engineer, extract, or copy the creator's studio content.
• Refund policies for marketplace purchases follow the same terms as Section 5.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIMAZE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO LIMAZE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Indemnification

You agree to indemnify and hold harmless Limaze, LLC, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. You may export Your Content before termination. Sections that by their nature should survive termination (including Sections 6, 10, 11, 12, and 14) will survive.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or to participate in a class action.

15. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.
